1. Legal Entity

Arck Technical Recruitment operates as a division of Arck IT Services Private Limited, a company duly incorporated under the Companies Act, 2013, bearing Corporate Identification Number (CIN): [Insert CIN], with its registered office located at:

All contractual relationships, invoices, and legal obligations are undertaken by the parent entity, Arck IT Services Private Limited.


2. Definitions

For the purpose of these Terms & Conditions, unless otherwise specified:

  • “Company” refers to Arck IT Services Private Limited, including its division, Arck Technical Recruitment.

  • “Services” refers to the recruitment and staffing solutions provided by the Company, as detailed in Section 3.

  • “Client” refers to any organization, firm, or individual engaging the Company’s Services.

  • “Candidate” means any individual seeking employment opportunities and registered with the Company for recruitment purposes.

  • “Agreement” refers to the specific Service Level Agreement (SLA) or contract executed between the Company and the Client.


3. Services Offered

The Company offers the following professional recruitment services:

  • Permanent Staffing Solutions: Recruitment for full-time employment positions.

  • Contractual / Temporary Staffing: Placement of professionals for short-term or project-based roles.

  • Executive Search Services: Senior-level talent acquisition, including CXO and leadership roles.

  • Background Verification Services: Third-party background checks as per client requirements.

  • Payroll Management: Administration of payroll and statutory compliance for contractual staff.

Each service is governed by individual SLAs which define deliverables, timelines, and service-specific terms.


4. User Obligations

4.1 Responsibilities of Clients

Clients agree to:

  • Provide comprehensive and accurate job descriptions and role requirements.

  • Respond promptly to candidate submissions and interview scheduling.

  • Abide by applicable employment laws, particularly those prohibiting discrimination on the basis of gender, caste, religion, race, or disability.

  • Notify the Company of any changes to job roles or project requirements during the engagement.

4.2 Responsibilities of Candidates

Candidates are expected to:

  • Submit truthful and updated information regarding qualifications, experience, and employment history.

  • Disclose any existing employment contracts, non-compete clauses, or restrictions that may affect placement.

  • Maintain confidentiality regarding job offers and discussions initiated by the Company.


5. Payment Terms

  • Invoicing & Payment: All invoices shall be payable within fifteen (15) days from the date of issuance.

  • Late Payment: Delayed payments shall incur an interest of 1.5% per month on the outstanding amount.

  • Payment Recipient: All payments are to be made exclusively to Arck IT Services Private Limited as per the banking details mentioned in the invoice.

  • Refunds: Any applicable refund policies shall be governed by the specific terms outlined in the SLA.


6. Intellectual Property

  • The Company retains exclusive ownership of its proprietary recruitment processes, assessment tools, and methodologies.

  • Candidates maintain intellectual property rights over their resumes, portfolios, or work samples submitted during the process.

  • All data, including job descriptions, candidate profiles, and interview feedback, will be used strictly for the purpose of service delivery and handled in accordance with the Company’s Privacy Policy.


7. Liability & Disclaimers

  • The Company does not guarantee the long-term retention or performance of placed candidates.

  • The Company is not liable for inaccuracies in third-party background verification results.

  • The Company’s total liability under any Agreement is strictly limited to the total service fee paid by the Client for the specific engagement.

  • The Company shall not be liable for service delays or non-performance caused by events beyond its reasonable control, including but not limited to natural disasters, governmental actions, pandemics, or system outages (Force Majeure).


8. Termination

  • Either party may terminate the Agreement by providing thirty (30) days prior written notice.

  • Immediate termination may occur if either party commits a material breach of these Terms.

  • Upon termination, the Client shall settle all outstanding invoices for Services rendered up to the termination date.


9. Governing Law & Dispute Resolution

  • These Terms shall be governed and construed in accordance with the laws of India.

  • All disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of courts located in Hyderabad, Telangana.

  • Parties agree to attempt resolution through mandatory arbitration, as per the Arbitration and Conciliation Act, 1996, before initiating any legal proceedings.

  • A 30-day written notice is required before initiating any arbitration or legal action.


10. Amendments

The Company reserves the right to modify, amend, or update these Terms & Conditions at any time without prior notice. Continued usage of our Services following such updates shall constitute acceptance of the revised terms.
